1. Platform Overview

SILVERWORMS provides a digital advertising platform that enables businesses to display advertisements on digital screens installed in participating vehicles. Campaign scheduling, display frequency, availability, and distribution depend on network capacity and other operational factors.

2. User Accounts

You are responsible for keeping your account information accurate and protecting your login credentials. Activities performed using your account are considered your responsibility until you notify us of unauthorized access.

3. Advertiser Responsibilities

Advertisers are solely responsible for all content submitted to the platform. By uploading any advertisement, you confirm that:

• You own or have permission to use all content.
• Your advertisements comply with all applicable laws and regulations.
• The content does not violate copyrights, trademarks, intellectual property rights, or privacy rights.
• The content is not misleading, defamatory, offensive, illegal, or otherwise prohibited.

4. Advertisement Review

SILVERWORMS reserves the right to review advertisements before they become active. We may reject, suspend, edit, or remove any content that violates applicable laws, advertising standards, public policy, or our internal content guidelines. Approval of an advertisement does not transfer responsibility for its legality to SILVERWORMS.

5. Wallet & Payments

Advertising campaigns operate using a prepaid wallet system. Advertisers must maintain sufficient wallet balance before campaigns can start or continue running. Campaigns may automatically pause if the available balance is exhausted and resume once additional funds are added. Unless otherwise required by law or expressly agreed, wallet top-ups are non-refundable.

6. Driver Participation

• Drivers must keep SILVERWORMS hardware properly installed while participating in the program.
• Devices must not be tampered with, modified, disconnected, or used to manipulate advertising statistics.
• Attempts to falsify driving activity, screen uptime, GPS data, or campaign performance may result in immediate suspension, permanent removal, and forfeiture of pending earnings.

7. Service Availability

While we aim to provide reliable service, uninterrupted availability cannot be guaranteed. Maintenance, software updates, network outages, third-party failures, or events beyond our reasonable control may temporarily affect platform availability.

8. Intellectual Property

All software, branding, designs, dashboards, APIs, documentation, and related technology provided by SILVERWORMS remain our exclusive property. Users may not copy, reproduce, reverse engineer, redistribute, or create derivative works without prior written permission.

9. Privacy & Security

We process personal information in accordance with our Privacy Policy. Users agree not to attempt unauthorized access to our systems or interfere with platform security. Any detected abuse may result in immediate account suspension and legal action where appropriate.

10. Limitation of Liability

To the maximum extent permitted by law, SILVERWORMS shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, business opportunities, data, or goodwill arising from the use of our platform or services.

11. Indemnification

You agree to indemnify and hold SILVERWORMS, its employees, contractors, and affiliates harmless against claims, losses, liabilities, costs, or legal expenses arising from your advertisements, misuse of the platform, or violation of these Terms.

12. Force Majeure

SILVERWORMS shall not be responsible for delays or failure to perform its obligations where such failure results from events beyond our reasonable control, including natural disasters, governmental actions, cyber incidents, power failures, internet outages, or other force majeure events.

13. Suspension & Termination

We reserve the right to suspend, restrict, or permanently terminate accounts that violate these Terms, engage in fraudulent activity, misuse the platform, submit prohibited content, or otherwise threaten the integrity or security of our services.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws applicable in the jurisdiction where SILVERWORMS operates. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations or other mutually agreed dispute resolution methods where permitted by law.
